DEFINITIONS

GENERAL PROVISIONS

By using the website or contracting services, you agree to these Terms under Moldovan law, specifically referencing Law 284/2004 on E-commerce and Law 105/2003 on Consumer Protection. MentoraX may update these Terms without prior notice, and you are responsible for reviewing any subsequent updates.

DATA PROTECTION AND PRIVACY

MentoraX collects and processes personal data in accordance with Moldovan Law 133/2011 and GDPR-aligned practices.

  • Registration and participation in trainings and exams.
  • Delivery of IT services and digital products.
  • Customer communication, invoicing, and security.
  • Analytics, cookies, and service improvements.

  • Access, correction, deletion, restriction, portability, and withdrawal of consent.

ORDER REGISTRATION & PAYMENT

Registration for any MentoraX service constitutes contractual acceptance of these Terms.

• Payment Methods Accepted:
  • Online payment (secure gateway, 3D Secure)
  • Bank transfer
  • Cash (where applicable)
• Refund Policy: Refunds are processed only to the original payment method.
• Fee Variation: Fees may vary depending on participant category, location, or custom agreements.

Service Categories & Specific Conditions

A. MENTORAX ACADEMY SERVICES

5.1 Trainings, Camps & Workshops Participants receive:

• Access to sessions
• Training materials (print or digital)
• Certificate of completion (where applicable)

MentoraX may modify schedules or locations; participants will be informed by email. If MentoraX cancels a session, participants may request a full refund or transfer.

5.2 Examination & Certification Requirements Some programs include formal examinations to obtain certification (e.g., PMP prep assessment, ToT evaluation, language proficiency assessments, internal MentoraX exams).

Exam Policy:

• Exams must be taken within 30 calendar days from the date MentoraX notifies the participant that they are eligible.
• If the participant misses the exam window, the attempt is counted as FAILED.
• A retake fee may apply depending on the program.
• Exam scheduling is the participant’s responsibility unless otherwise provided.
• Certificates are issued only upon successful completion of all required components (attendance + exam).

5.3 Camps The base fee includes:

• Daily sessions
• One mid-day meal
• Certificate

Optional fees (transport, accommodation) apply as published in the service description.

5.4 Participant Conduct Participants must:

• Attend sessions on time
• Maintain respectful behavior
• Follow staff instructions
• Comply with facility and safety rules

Strictly prohibited:

• Alcohol consumption at any training or camp
• Violence, harassment, or disruptive behavior

MentoraX may remove participants for misconduct without refund.

5.5 Minors For services involving minors, legal guardians must provide consent. Guardians assume responsibility for minor behavior and safety outside direct supervision.

B. MENTORAX IT SERVICES

5.6 Consulting, Digital Transformation & Advisory Consultation services include but are not limited to:

• IT strategy & roadmapping
• Cloud & DevOps advisory
• Digital transformation
• Architecture design
• Security & governance
• AI adoption strategy

Clients must provide accurate information and required access for service delivery. Deliverables and timelines are defined in project agreements or SoWs.

5.7 Outsourcing & Software Development Services MentoraX provides pre-vetted developers and engineers.

Clients agree to:

• Provide access and tools necessary for developer integration
• Respect working hour arrangements
• Not solicit or hire MentoraX staff directly for 24 months unless permitted contractually

MentoraX ensures compliance with confidentiality and data protection obligations.

5.8 Digital Products & Platforms Includes:

• MentoraLearn (LMS platform)
• WaqoorAI Platform (sovereign AI platform)
• LigoFlow (workflow intelligence tool)
• E-commerce platform

Usage Conditions: Users may not:

• Modify, reverse engineer, or redistribute the software
• Transfer licenses without permission
• Use platforms for unlawful purposes
• Exceed licensed user limits

Platform Availability MentoraX ensures:

• Security patches and updates
• Reasonable uptime
• Support according to the selected package

Data Ownership Clients retain ownership of all data uploaded to MentoraX systems.

RIGHT TO CANCELLATION & REFUNDS

Academy Services (Trainings, Camps, etc.): Cancellation rules remain as originally specified:

• Up to 30 days before start: Refund minus €50 admin fee
• 14–30 days before start: 50% refund
• Less than 14 days before start: No refund

IT Services, Consulting, or Digital Products: Refunds are not issued once:

• Work has begun,
• Access to proprietary systems has been granted, or
• A contract has been executed.

LIABILITY LIMITATIONS

MentoraX is not responsible for:

• Losses resulting from misuse of services.
• Client-side infrastructure failures.
• Internet or system interruptions.
• Participant behavior or property loss during camps or trainings.
• For IT projects, MentoraX is not liable for indirect, incidental, or consequential damages.

INTELLECTUAL PROPERTY

All materials, software, documentation, designs, and course content are copyrighted. Redistribution or copying without written consent is strictly prohibited.

FORCE MAJEURE

MentoraX may suspend or modify services in case of unforeseen events such as: natural disasters, pandemics, war, government restrictions, or technical failures beyond control.

Participants may receive rescheduling options or credit for future services.

COOKIES & TRACKING TECHNOLOGIES

MentoraX uses essential, analytical, functional, and targeting cookies as described in the original Terms. Users may manage cookie settings in their browser.

AMENDMENTS

MentoraX may revise these Terms at any time. Updates take effect immediately upon publication on the website or notice to Clients.

GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of the Republic of Moldova. All disputes shall be resolved in Moldovan courts, jurisdiction Chișinău.
